Terms & Conditions:
1. Profile Verification and EIN Collection.
OperatorsHub may review profile applications submitted by companies, operators, or skilled professionals (“Verified Profiles”). The term “Verified Profiles” is defined as a synopsis of data built from information submitted and/or supplied by companies, operators, or skilled professionals (“Applicants”) to OperatorsHub and deemed accurate using reasonable means. The “Verification” indicates that the profile has been reviewed manually by OperatorsHub but does not guarantee the accuracy, completeness, or truthfulness of any information provided. Such review is limited in scope and does not constitute a guarantee or endorsement of the accuracy, completeness, or reliability of any information provided. Companies/business’, operators, or skilled professionals must conduct independent due diligence prior to hiring or engaging any individual or entity. Companies may optionally provide their Employer Identification Number (“EIN”) to assist OperatorsHub in verifying their legitimacy; however, OperatorsHub does not verify that such EIN’s are accurate. Providing an EIN authorizes OperatorsHub to use the information for verification purposes and to share it with trusted third-party verification services as necessary. OperatorsHub does not guarantee that EIN verification confirms legal status or suitability, and companies remain responsible for conducting their own due diligence before engaging operators, professionals, or other companies.
2. Background Checks and Third-Party Services.
OperatorsHub may offer DMV reports or background checks (“Background Check Services”) through third-party providers, including SambaSafety. By requesting a Background Check Service, users authorize OperatorsHub to collect and transmit the necessary personal and professional information to the third-party provider. OperatorsHub acts solely as an intermediary and does not guarantee the accuracy, completeness, or timeliness of information obtained from third-party providers. OperatorsHub shall not be liable for any decisions made based on the results of Background Check Services, including hiring or engagement decisions. Users must obtain all required consents from individuals subject to Background Check Services.
3. Communications Services.
The platform may include SMS messaging, internal platform messaging, email communications, and notifications (“Communications Services”). OperatorsHub does not guarantee the delivery, timeliness, security, or accuracy of Communications Services. Messages may be delayed, misdirected, filtered, interrupted, or fail due to system limitations, third-party service providers, telecommunications carriers, or other factors outside OperatorsHub’s control. OperatorsHub may access internal messaging for operational, compliance, security, or legal purposes, but message access is limited to ninety (90) days. Users should not rely on the platform as a system of record. OperatorsHub disclaims liability for any damages resulting from failed, delayed, or undelivered communications.
4. Platform Availability and Third-Party API Reliance.
OperatorsHub does not guarantee uninterrupted, timely, secure, or error-free access to the platform. Platform availability may be affected by scheduled or unscheduled maintenance, system failures, force majeure events, or failures of third-party services or APIs. OperatorsHub shall not be liable for any damages, including lost wages, lost work, lost profits, or business interruption, resulting from platform downtime, degraded performance, or third-party failures.
5. Data Security and User Responsibility.
OperatorsHub implements reasonable administrative, technical, and physical safeguards to protect user data, but no system can be completely secure. Users are responsible for maintaining the confidentiality of account credentials and all activity under their accounts. OperatorsHub may take steps to investigate, remediate, and notify affected users in the event of a data breach or unauthorized access, as required by law. OperatorsHub shall not be liable for any damages, claims, or losses arising from data breaches, unauthorized access, or failure to secure credentials, except as required by applicable law.
6.California Consumer Privacy Compliance.
To the extent OperatorsHub receives or processes Personal Information, defined as information related to the work history, experience, licensing or background, on or or behalf of a Subscriber, defined as a person or company wishing to participate in or utilize the services of OperatorsHub, the Parties agree that OperatorsHub is acting as a Service Provider as defined by the California Consumer Privacy Act (“CCPA”). OperatorsHub shall process personal information solely for the limited and specific the Subscriber(s) purposes as described herein and shall not retain, use, or disclose such personal information for any purpose other than performing the Services specified herein. OperatorsHub shall implement and maintain reasonable and appropriate administrative, technical, and physical safeguards to protect Personal Information against unauthorized access, disclosure, or misuse, consistent with Cal. Civ. Code §1798.100 et seq. OperatorsHub shall notify Subscriber without undue delay if it determines it can no longer meet its obligations under the CCPA. Upon such notice, Subscriber may take reasonable steps to stop and remediate unauthorized use of personal information. OperatorsHub shall use the personal information solely to perform the services described herein and for no other purpose. OperatorsHub certifies that it understands and will comply with these restrictions.
7.Limitation of Liability.
OperatorsHub’s total aggregate liability for any and all claims, losses, damages, or expenses arising out of or relating to this Agreement shall not exceed the lesser of (a) the total fees actually paid by Subscriber under this Agreement, or (b) $1,000. OperatorsHub shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, loss of business, loss of data, or reputational harm, even if advised of the possibility of such damages. These limitations apply to all claims, whether based in contract, tort, statute, or any other legal theory. Company shall have no such limitation and may pursue all remedies available at law or in equity.
8. Indemnity.
Subscriber shall indemnify, defend, and hold harmless OperatorsHub, and its officers, directors, employees, agents, successors, and assigns from and against any and all claims, demands, actions, liabilities, damages, losses, fines, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) Subscriber’s breach of these terms; (b) any negligent act, error, omission, or willful misconduct of Subscriber or its personnel; (c) Subscriber’s violation of any applicable law, regulation, or ordinance. Subscribers’ duty to defend is immediate and arises upon the assertion of any claim subject to indemnification, regardless of whether liability has been established. OperatorsHub retains the right to approve defense counsel and to participate in the defense at its own expense. Subscriber shall not settle any claim without OperatorsHub’s prior written consent if the settlement imposes any obligation on OperatorsHub or does not include a full release of all claims.
9. Venue for All Claims.
Any claim, dispute, or proceeding arising out of or relating to any services offered or taken by OperatorsHub shall be brought exclusively in Orange County, California, and in no other jurisdiction. Each Party irrevocably and unconditionally submits to the personal jurisdiction of such courts and waives any and all objections to venue, including any claim of inconvenient forum, improper venue, or lack of personal jurisdiction. Each Party further agrees that Orange County, California, California, is a mandatory and non-negotiable forum for all disputes and that this clause shall be enforced to the maximum extent permitted by law, without regard to conflict-of-law principles or any argument that another forum has a more substantial relationship to the dispute.
10. Acknowledgment and Acceptance.
By using the platform, users acknowledge and agree to the inherent risks of platform use, third-party integrations, communications, background check services, and data handling as described herein, and agree that OperatorsHub’s role is limited to providing access and services as set forth in these Terms. Users further acknowledge that they are responsible for reviewing the most current Terms and Privacy Policy, conducting their own due diligence, and taking appropriate precautions to protect their information and decisions.
